  7.            THE PIER EXCHANGE LICENSE & WARRANTEE AGREEMENT

  9. This License Agreement is your Proof of License.

  11. This is a legal agreement between you (either an individual or entity),
  12. the end user and The Pier Exchange. If you do not agree to the terms of
  13. this Agreement, promptly return the CD-ROM disk package and accompanying
  14. items to the Dealer you obtained it for a full refund.

  16. THE PIER SHAREWARE CD-ROM LICENSE
  17.  
  18. 1.  Copyright and Grant of License:
  19.  
  20. The Pier Shareware CD-ROM is copyrighted. The Pier Exchange retains
  21. ownership of the enclosed CD-ROM. The Pier Shareware CD-ROM is Licensed
  22. to you for use as permitted by this Agreement.

  24. 2.  Permitted Use:
  25.  
  26. You may use The Pier CD-ROM on compatible computer including networks.
  27. You may use The Pier CD-ROM on public or private Bulletin Board Systems.
  28. You may use all of the programs provided on the CD-ROM in accordance
  29. with the terms of the Authors of the programs in question. The files
  30. listings contained in the BBS directories and TEXT directory on The Pier
  31. Shareware CD-ROM may be imported into a BBS data base for noncommercial
  32. use only.

  34. 3.  Prohibited Use:
  35.  
  36. You may not rent or lease The Pier Shareware CD-ROM. You may not
  37. sublicense The Pier Shareware CD-ROM. You may not use The Pier Shareware
  38. CD-ROM on a public or private Bulletin Board System (BBS) in the
  39. Buffalo, N.Y. local phone calling area. All file listings contained in
  40. the BBSs directories, THEPIER, and file directories on The Pier
  41. Shareware CD-ROM are Copyrighted, and any commercial use is prohibited.

  43. This CD-ROM contains shareware and public domain programs and are
  44. provided at no charge to the user for evaluation.  Feel free to share
  45. them with your friends, or associates but do not give them away altered
  46. or as part of another system.  The essence of "user-supported" software
  47. is to provide personal computer users with quality software without high
  48. prices, and yet to provide incentive for programmers to continue to
  49. develop new products.  If you find any of the programs useful and find
  50. that you are using them on a regular bases, or beyond the author's
  51. trial period, you must make a registration payment to the author, or
  52. company in question.

  55. 4.  Responsibility of Bulletin Board Systems:

  57. File(s) that are found to be commercial or hacked programs by the System
  58. Operator, or as reported to you by the distributor of the CD-ROM, or by
  59. the Author of the program(s) in question, you must remove the file(s)
  60. name and description from your files listing upon receiving such
  61. knowledge of there existence.

  63. The Pier Exchange reserves the right to terminate this License if there
  64. is a violation of its terms or default by the License Holder of this
  65. Agreement. Upon termination for any reason, all copies of the software
  66. must be returned to The Pier Exchange unless instructed to destroy the
  67. CD-ROM by The Pier Exchange, in either case the Licensed Holder will be
  68. liable for any and all damages suffered as a result or default.

  71. 5.  DISCLAIMER - WARRANTY AGREEMENT

  73. Purchase holders of The Pier Shareware CD-ROM must accept this
  74. disclaimer of warranty: "this CD-ROM is supplied as is.  The author
  75. disclaims all warranties, expressed or implied, including, without
  76. limitation, the warranties of merchantability and of fitness for any
  77. purpose.  The author assumes no liability for damages, direct or
  78. consequential, which may result from the use of this CD-ROM, or the
  79. software contained therein.

  82. THE PIER EXCHANGE HEREBY DISCLAIMS ALL WARRANTIES RELATING TO THIS
  83. CD-ROM, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY
  84. IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
  85. PURPOSE. THE PIER EXCHANGE WILL NOT BE LIABLE FOR ANY SPECIAL,
  86. INCIDENTAL, CONSEQUENTIAL, INDIRECT OR SIMILAR DAMAGES DUE TO LOSS OF
  87. DATA OR ANY OTHER REASON, EVEN IF THE PIER EXCHANGE, OR AN AGENT OF THE
  88. PIER EXCHANGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  89. NEITHER THE PIER EXCHANGE NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE
  90. CREATION, PRODUCTION, OR DELIVERY OF THIS CD-ROM SHALL BE LIABLE FOR ANY
  91. INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OR
  92. INABILITY TO USE THIS CD-ROM, OR THE SOFTWARE THEREIN, EVEN IF THE PIER
  93. EXCHANGE, OR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION,
  94. PRODUCTION, OR DELIVERY OF THIS CD-ROM HAS BEEN ADVISED OF THE
  95. POSSIBILITY OF SUCH DAMAGES OR CLAIMS.  THE PERSON USING THE CD-ROM
  96. BEARS ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.

  99. This agreement shall be governed by the laws of the Commonwealth of New
  100. York and shall inure to the benefit of The Pier Exchange and any
  101. successors, administrators, heirs and assigns. Any action or proceeding
  102. brought by either party against the other arising out of or related to
  103. this agreement shall be brought only in a STATE or FEDERAL COURT of
  104. competent jurisdiction located in Buffalo, New York. The parties hereby
  105. consent to in personam jurisdiction of said courts.
